Webinar on Companies Bill 2012   Dear Samip The Companies Bill, 2012 has been passed by the Lok Sabha and is now awaiting approval of the Rajya Sabha and the President of India. The Bill places greater emphasis on self-regulation as opposed to Government approvals (e.g. for transactions in which directors are interested, managerial remuneration); requires greater disclosures (e.g. a large number of matters are required to be disclosed in annual return and in directors' report) and better corporate governance; introduces stricter measures for investor protection. There is a conscious effort at making the regulatory processes faster - in a number of provisions, specially where regulatory action or intervention is required (e.g. for winding up a company or for rehabilitation of sick companies), time limits have been laid down for completion of various actions by the authorities/other parties concerned. Some of the other areas which will be impacted include mandatory internal audit, ceiling on layers of subsidiaries a company can have, audit rotation and mandatory contribution towards corporate social responsibility.
