Vacancy for CS in PI Industries Ltd

Position Purpose
The role will be responsible for assisting the Company Secretary in fulfilling all statutory and secretarial compliances related to Companies Act, 2013, listing agreement and SEBI Guidelines in a timely manner. The role holder will need to coordinate with the relevant statutory bodies and external advisors as required for undertaking all the compliances.
Strategic Responsibilities
  • Assist in arrangement of Board, Committee meetings and Shareholder meetings with respect to sending invitations, agenda, arranging logistics and ensuring required quorum.
  • Prepare drafts of meeting notices, agenda, minutes, Directors Report, Corporate Governance Reports, Annual Reports, etc.
  • Provide data for preparation of Annual Reports from Secretarial stand point of view.
  • Coordinate and perform activities pertaining to Stock Options.
  • Liaison with consultants, government departments etc. for the purposes of statutory filings and submissions to the queries received from such departments.
  • Ensure all statutory filing with MCA and Stock Exchanges are done accurately and well in time for PI Industries.
  • Co-ordinate with Karvy, Registrar & Share Transfer Agent for shareholder’s related issues.
  • Update Statutory Registers & Records of the Company including group companies.
Operational Responsibilities
  • Publish various statutory notices in Newspapers as and when required.
  • Update / maintain data on online compliance management tool for secretarial practices.
  • Update relevant section on Company’s website related to statutory compliance.
  • Provide support in drafting of Secretarial policies and procedures.
  • Assist the Company Secretary in executing corporate action like Dividend / Right / Bonus / QIP
  • Act as departmental SPOC while automation of secretarial policies.
  • Collate data and prepare MIS reports.
  • Keep track of various legal updates in Companies Act, SEBI regulations and Listing rules and arrange impact analysis, if any for the same.

  • L.L.B. background will be preferred

  • Good skills w.r.t. legal documents archiving
  • Working knowledge of Corporate Law
  • Knowledge of taxation and statutory compliances
Behavioural Competencies
  • Excellent Communication Skills (Written & Oral)
  • Proactive
  • gs with members of the team for cross functional development.
Education Qualification
